NEXA G GROUP, SARL with share capital of €1,000, Nanterre Trade Register 990 672 818, SIRET 990 672 818 00012, EU VAT FR 61 990 672 818, registered office 32 rue de Paris, 92100 Boulogne-Billancourt (France). Hereinafter “Colors” or “the Platform”.
1. Purpose and applications covered
These terms govern the use of the Colors Pro and Colors Pro Lite applications by a professional (“the Pro”) performing services offered through the Platform. They supplement the Terms of Use.
Colors Pro Lite is a lighter version: it gives access to the same orders and the same remuneration rules, without the collection and progression features. The choice between the two applications has no effect on the financial terms.
2. Two forms: individual and business
The term “Pro” covers two forms of practice, subject to the same financial rules but to their own obligations:
- the individual who travels — driver, courier, companion, itinerant craftsperson, home service provider: they perform the service where the customer is;
- the business — restaurant, hotel, food shop, craft workshop, theatre, agency, association: an entity that receives, produces or sells from a set location.
The form is declared at registration and determines which activities are accessible. A business has access to market, experience, craft and solidarity activities; an individual additionally has access to travel and service activities. Article 5 sets out the rules specific to businesses.
3. Your status: you are independent
The Pro operates in full independence. These terms create no employment contract, no relationship of subordination and no exclusivity with Colors. The Pro freely organises their activity: they choose their hours, accept or refuse orders, and may work on other platforms.
It is for them to meet their own obligations: registration, authorisations and licences required by their activity and their country, insurance, social security and tax declarations, and — for those who drive — compliance with driving and rest times. Colors does not stand in the place of any of these obligations and does not monitor them beyond the document checks described in article 4.
Where the Pro is a business, these obligations fall on the legal entity or the operator representing it, and extend to its staff: the Pro remains the sole employer of its employees and agents, for whom it is fully answerable.
4. Access: documents, activities, vehicles
Access to orders requires a complete file. Depending on the country, the activity and the role, the Platform requires supporting documents (identity, authorisation to operate, insurance, vehicle document, etc.). These documents are examined — by automated analysis and, where applicable, by the referring club — and may be accepted, refused or declared expired.
A refused or expired document suspends the activity concerned until the situation is regularised. The Pro undertakes to keep their documents up to date and warrants their authenticity; producing a falsified document results in immediate closure of the account, without prejudice to legal proceedings.
Vehicles are declared and attached to a club. A vehicle must be approved for the activity concerned before being used. Not all activities require a vehicle: those performed on foot, at the customer's home or from a business require none.
The documents expected from a business differ from those of an individual: registration extract, operating or opening authorisation, activity-specific licence (alcohol, entertainment, accommodation, food handling, etc.), certificate of business insurance. They are requested according to country and activity.
5. If you are a business
The following rules apply in addition to the above where the Pro operates from a set location — restaurant, hotel, shop, workshop, venue, agency.
What you publish
The business publishes its offer: products, services, time slots, seats, rooms or covers, depending on the activity. It warrants its accuracy — description, composition, price, quantity, duration, access conditions — and updates it without delay. A displayed price binds the business: it cannot be changed after the order.
The business is answerable for the conformity of what it sells: regulations applicable to the product or service, information on allergens and composition for food, use-by dates, cold chain, safety of the people it receives, accessibility, and the stated classification or category. It must not offer what the law forbids it to sell, in particular to minors.
Availability and time slots
The business keeps its availability up to date: opening hours, stock, remaining slots and seats. An order accepted when the stock or seat no longer exists remains at its charge: it is for the business to offer an equivalent replacement or to have the order cancelled free of charge for the customer.
Where the activity is based on time slots — table, room, session, workshop — a booking amounts to an undertaking to receive the customer at the agreed time. The business's own cancellation conditions are shown to the customer before booking and bind both parties.
Handover, delivery, performance
Depending on the activity, the service is performed on site, by collection, or by delivery. Where a third-party professional handles delivery, the business remains responsible for the conformity and condition of what it hands over at the moment of handover; the carrier is answerable for the transport. A handover code may be required to evidence delivery.
The business must not encourage the customer to conclude outside the Platform an order initiated on it, nor charge on site a supplement that was not announced.
What you receive
The financial rules of articles 8 to 12 apply identically: commissions, cashback, collection, payouts and debts do not depend on the form of practice. The term “ride” there refers indifferently to a ride, an order, a booking or a sale.
Your staff
A business may perform orders through its employees or agents. It remains their sole employer and is answerable for their acts as for its own. Platform accounts remain personal: an account may not be shared, and each person acting on the Platform must have their own.
6. Joining a club, referring and secondary
The Pro performs orders within one or more clubs. Depending on the club's settings, joining is open or subject to the operator's approval. A club may set an entry fee, shown before the request.
A club is referring when it is the Pro's main club; the others are secondary. The referring club holds the document file and approves activities. Moving from one referring club to another is subject to the agreement of the club concerned and may be subject to a waiting period.
7. Affiliation: who collects your orders
The Pro is either independent — payments for their rides are paid out to them directly — or affiliated with a club: in that case, payments are collected by the club's company, which then pays the Pro under their own agreement, outside the Platform.
Affiliation results from an agreement between the Pro and the club: it is offered by one and accepted by the other in the application. A Pro is affiliated with only one club at a time. Colors is not a party to the payment agreement between the club and its affiliated Pro and does not guarantee its performance.
8. What you receive
On a ride paid by the Customer through the application, the following are deducted from the price:
- the Colors commission — currently 10% by default;
- the club commission — currently 10% by default;
- the cashback paid back to the Customer where they are entitled to it — currently 5%.
The Pro receives the balance, i.e. 75% of the price at the default rates. These rates are configured by country, zone and activity: those that apply are shown before the ride is accepted and repeated in the ride details. Cashback is withheld even where the Customer turns out not to be entitled to it; it then goes to Colors or to the club depending on the payment method.
Paid options bear their own commission, separate from that of the ride. Options the Pro chooses to offer free have no effect on their net: they cost them nothing and earn them nothing.
On a ride posted by an order giver, the performing Pro receives a fare that cannot be lower than the net from the base grid for the service; any margin beyond that goes to the order giver at the configured rate.
9. Cash orders and the commission due
Where the Customer pays in cash, the Pro collects the whole price. They remain liable for the commissions and the cashback that would have been deducted from a card payment: they therefore keep, currently, the equivalent of 80% of the price, and owe the difference.
That amount is called the cash commission. It is taken in the following order: first from the Pro's Merhcure balance, failing that from their saved card, and failing that it becomes a debt (article 10).
A club may choose to cover the cash commission of its referring Pros, in full or for certain activities. In that case nothing is taken from the Pro; the charge is borne by the club. Such coverage is indicated in the application before the ride is accepted.
10. The cash commission debt
An unpaid cash commission is recorded against the ride concerned and remains due. As long as a debt is open, access to new rides may be suspended: the Platform stops sending offers to the Pro and refuses acceptance of new orders.
The debt is extinguished by voluntary settlement (Merhcure or card, from the application) or by withholding from future payouts. Withholding may be partial: it is applied to the oldest debts first, up to what the payout allows.
11. Offers, negotiation and free options
For some activities, the Pro replies with a priced offer. The offer is firm for its period of validity and binds the Pro if the Customer accepts it. The amount proposed is bounded by a floor — it cannot go below the minimum net from the grid — and the Pro sees, before sending, what they will actually receive.
The Pro may attach to their offer one or more free options: they are free for the Customer and have no effect on the Pro's net, who undertakes to honour them.
An accepted offer amounts to an undertaking to perform. Repeatedly refusing to perform accepted offers may lead to the measures in article 16.
12. Payouts
Amounts due to an independent Pro are paid out to their connected payment account (Stripe Connect or a regional provider depending on the country), whose opening and identity verification are the provider's responsibility. An unverified account blocks the payout, and Colors cannot stand in its place.
The payout occurs after the ride is completed and the Customer has actually paid, less commissions, cashback, the payment provider's processing fees where they are shared, and any open debts (article 10). The breakdown can be consulted in the application.
An affiliated Pro receives no payout from Colors: the amounts are paid to the club, which remunerates them under their agreement.
13. Merhcure, Vault and rewards
The Merhcure (symbol “ M ”) is the Platform's unit of account. It bears no interest and may not be transferred to a third party outside the mechanisms provided in the application. Each Merhcure falls into one of the six categories below, set at issuance and attached to it for its entire life. The category determines what it can be used for: paying for a service, a commission or a debt, being spent in the Vault, or being transferred out.
1. Full Merhcure. Received in return for a service actually performed (earnings from a ride, a service or a sale, a club's share, a commission), or returned following a payment of the same nature. They constitute a recoverable reserve: usable anywhere within the Platform, and the only ones that may be transferred to a bank account, under the conditions shown at the time of the operation.
2. Sealed Merhcure. Acquired for consideration, in the application, on the colorsclubs.com website or by mobile money, and tied to the currency of the purchase. They can be used anywhere within the Platform: the Vault, and payment of services, commissions and debts. They may never be transferred out or converted into currency.
3. Voucher Merhcure. Credited from a top-up voucher or code (including Colors Cash), from cashback, from bonuses linked to a shared ride (Pool) and from partnership Merhcure that have reached the end of their term. They are used exclusively to pay for services, commissions, debts, donations and Pass Trips. They cannot be used in the Vault and are never transferred out.
4. Advertising Merhcure. Granted after viewing verified by the advertising provider. They are usable exclusively in the Vault: they pay for no service and are never transferred out.
5. Partnership Merhcure. Granted in connection with partner operations. They are unavailable during the period shown in the application, then become Voucher Merhcure at the end of that period.
6. Vault Merhcure. Obtained in the Vault — draws, missions, levels, streaks, game rewards. They are usable exclusively in the Vault: they pay for no service, are not converted and are never transferred out.
What never leaves. Only full Merhcure may be transferred to a bank account. No other category, including sealed Merhcure acquired for consideration, is convertible into currency or payable to a bank account. The passing of a term never makes transferable a Merhcure that was not: it broadens its use within the Platform, nothing more. Merhcure issued before 23 September 2026 keep the regime in force on the day they were issued.
Currency and exchange. Each Merhcure is tied to a currency, set at the time of acquisition. Moving from one currency to another is an exchange: it is possible only if the original currency allows it, at the rate shown before confirmation, exchange fees included in that rate. A currency with no available rate cannot be exchanged; the operation is refused rather than estimated. An exchange never changes a Merhcure's category: a sealed Merhcure exchanged into another currency remains sealed.
Order of use. Where a payment can be settled from several categories, the Platform uses first those whose use is the most restricted, in order to preserve full Merhcure. The breakdown of categories held can be consulted at any time in the application.
Who the transfer goes to. If you are affiliated with a club, full Merhcure are transferred to that club, which passes the proceeds on to you outside the application. If you are independent, the transfer is made to a company declared on your account, in your country of activity.
When they are used to settle an amount expressed in currency within the Platform, the conversion applied is the one shown at the time of the operation (currently 1,000 M for €1). This value may change and is not a quoted rate. Merhcure committed to an operation in progress (hold, offer, bid) are immobilised until it is settled, then returned if the operation does not go through.
13.1 Clawback after a refund or dispute
Where a ride or service for which you received a share in Merhcure is later refunded to the customer, in whole or in part, or is subject to a chargeback (dispute lost with the customer's bank or store), the share you received is taken back from your balance of full Merhcure, in proportion to the amount refunded. The same rule applies to Merhcure you purchased where the purchase is refunded or disputed.
If your balance is insufficient, the part that could not be taken back becomes a debt owed to Colors, recorded against the ride concerned and handled like the cash commission debt (article 10): it is recovered from your subsequent earnings, and while it remains open, access to certain features may be restricted (new rides, cash rides, transfers). Any clawback may be disputed with support under article 20.
This article applies to refunds and disputes occurring on or after 10 October 2026.
Colors Pro gives access to collectibles, badges and visual effects obtained through activity or acquired in Merhcure. This content is personal and has no monetary value; acquisition is final upon confirmation. Some mechanisms involve an element of chance and give no right to any gain in currency.
14. Vouchers settled outside the application
Some services — in particular transport covered by a health organisation — are settled outside the Platform by the organisation concerned. Colors collects nothing, takes no commission and does not guarantee payment: the application only keeps the ride's history and a reminder of its settlement. Recovery is a matter between the Pro and the organisation.
10 bis. Club reserve and coverage
Your club may build a reserve intended to cover your commission on orders paid in cash. Where it applies, the commission is taken from that reserve at the time of assignment: you advance nothing.
In return, you waive your share of cashback on the order concerned, which goes to the club, and the advance remains due from you: it is set off against your later payouts, with nothing for you to do.
Your club may set a cap per professional. Where the reserve is exhausted, absent, or that cap is reached, the commission again becomes payable by you under article 9, and article 10 applies failing settlement. Coverage by the club is never an acquired right: it depends on its settings and on the state of its reserve at the time of the order.
11 bis. Club private options
Your club may define private options — surcharges or in-house services — that only you, as a member, can honour. Accepting them on an order commits you to actually providing them.
The price and the share retained by the club are set by the club and shown before you accept. An option ticked and then not provided may give rise to a deduction from your remuneration and to a report.
11 ter. Dispatcher
Your club may authorise you as a dispatcher, that is, to post orders and allocate jobs on its behalf. In that capacity, you act on the club's behalf: the prices you set and the commitments you make bind it.
That authorisation may be withdrawn by the club at any time, without notice and without compensation.
12 bis. Renting out your vehicle
Where the activity is open, you may offer your vehicle for rental. You set your conditions within the limits shown, and state whether the vehicle is rented with or without a driver.
A deposit may be required from the customer in the form of a card hold. It is requested before the vehicle is handed over and released after the condition report. A hold that was not taken, has expired or was refused means that no security can be called upon: handing over the vehicle in those conditions is your decision alone and at your sole risk.
Rental is a contract between you and the customer. Insurance, vehicle condition, regulatory compliance, claims and disputes are your responsibility. Colors is neither lessor, nor insurer, nor guarantor.
12 ter. Selling a vehicle
You may offer a vehicle for sale within the network. The listing goes through your club's approval before publication; the club may publish it, propose another price to you, or buy the vehicle from you.
You may set a minimum price: lower offers are automatically discarded. That amount is visible neither to buyers nor to the club. An offer received is valid for the period shown; accepting it reserves the vehicle and closes the other offers.
The sale is concluded between you and the buyer, through the selling club. Colors introduces the parties and records offers; it is neither seller, nor agent, nor guarantor of the goods or of the transfer of ownership. The seller's obligations are yours. The net amounts shown in the application are estimates and are not binding.
12 quater. Purchases on a customer's behalf
On shopping activities, the customer sets a budget and you propose your fee within the limits shown by the club: a capped percentage and minimum fees, due as soon as the mission starts even if no purchase goes through.
Depending on the mode chosen by the customer, you buy freely within the budget, or you seek their agreement before each payment. Purchases made beyond the budget remain at your charge. You keep the receipts and hand them over with the goods.
13 bis. Advertising and referrals
The application may offer you the chance to watch advertising in exchange for Merhcure or in-game benefits. Viewing is optional and the reward is only earned after verification by the advertising provider. An interrupted viewing, an unavailable advert or a negative verification give no entitlement.
Referrals may give rise to Merhcure when someone joins the Platform through you, under the conditions shown. Fictitious referrals, multiple accounts and any circumvention of the mechanism entail cancellation of the rewards and may justify suspension.
15. Availability, cancellations, ratings
The Pro is never obliged to accept an order. Once accepted, they undertake to perform it on the announced terms. A cancellation after acceptance, a significant delay or a failure to pick up worsen the Pro's cancellation rate, visible to the club, and may reduce the orders sent to them.
The Pro is rated by Customers. A rating that is too low may restrict access to certain activities or clubs.
When the Pro goes online, their position is transmitted in order to send them nearby orders and to allow the Customer to follow their approach. That transmission stops when offline. A business is not tracked by position: it is its address, its hours and its declared availability that determine the orders sent to it.
16. Blocking, expulsion, suspension
A club may block a Pro, temporarily or permanently. A temporary block suspends the sending of orders without ending membership; a permanent block ends membership, and the Pro may apply again.
Colors may suspend or close an account in the event of fraud, a falsified document, circumvention of the payment mechanisms, endangering others, persistent non-payment, or serious breach of these terms. Save in an emergency or where required by law, the Pro is informed and may submit observations. Amounts properly acquired before the measure remain due to them.
17. Leaving a club
The Pro may leave a club at any time. Depending on the club's settings, departure is immediate, subject to approval, or conditional on paying exit fees shown before the request. A refused departure may nevertheless be obtained at the end of the period stated in the application. Open debts remain due after departure.
18. Liability and insurance
The Pro performs the service under their sole responsibility. They warrant that they hold the required insurance, in particular professional liability insurance and, where applicable, insurance for carrying passengers or goods. They are answerable for damage caused to Customers, third parties and property.
A business is additionally answerable for what it sells: conformity and safety of products, wholesomeness of food, accuracy of composition and allergens, safety of the people it receives, and compliance with the statutory warranties owed to consumers. It deals with product recalls and the related complaints.
Colors is answerable for providing the technical service and for processing the payments it operates. It guarantees neither a volume of orders, nor a level of income, nor service continuity. Nothing excludes Colors' liability in the event of wilful misconduct, gross negligence or personal injury.
19. Your data and your position
The processing of the Pro's data — identity, documents, position, activity history, ratings — is described in the Privacy Policy. Some of that data is shared with the referring club for approval and monitoring purposes.
20. Complaints and disputes
Any complaint should first be addressed to the support built into the application, or to [email protected]. Colors endeavours to reply within 30 days.
In accordance with articles L.611-1 et seq. of the French Consumer Code, a consumer residing in the European Union may refer a dispute free of charge to a consumer mediator. The European online dispute resolution platform is available at ec.europa.eu/consumers/odr.
These terms are governed by French law, without prejudice to more favourable mandatory provisions of the consumer's country of habitual residence. Failing amicable resolution, jurisdiction is granted to the courts of the district of Colors' registered office, subject to the public-policy rules of jurisdiction applicable to consumers.
21. Changes
Colors may amend these terms, in particular to take account of legal, technical or pricing developments. Any substantial change is brought to the user's attention in the application, and their acceptance is requested before continued use of the Services. The conditions applicable to an operation are those in force on the day of that operation.
