1. Purpose

These terms govern the use of the Colors Manager application by the operator of a club (“the Manager”), as well as the paid services subscribed through it: plans, activities, content and cash-flow facilities. They supplement the Terms of Use.

2. Your status as a professional

The Manager contracts as a professional. Consumer protection provisions, in particular the fourteen-day right of withdrawal, do not apply to subscriptions taken out in Colors Manager.

The Manager warrants that they hold the authority required to bind the company they represent, and that they hold the authorisations required by their club's activity in each country where it operates.

3. The club and its licence

A club is the operating unit: it brings together activities, countries, professionals and commercial rules. Each club receives its own identification number. A single Manager may run several clubs; each club has its own plan, its own activities and its own operating accounts.

Creating and maintaining a club is subject to providing the documents required by country and activity. A rejected or expired document may suspend all or part of the club's functions until the situation is regularised.

4. Plans: price, trial, renewal

The club is attached to a plan that determines its rights — number of professional seats, number of activities, number of countries, access to certain functions. Current prices, excluding applicable taxes, are:

A 7-day trial period may be granted on first subscription. At the end of the trial, the subscription is charged and then renews automatically at each due date, until the Manager cancels from the application. Cancellation takes effect at the end of the current period; amounts already paid are not refunded pro rata.

If a charge fails, access to the plan's functions may be suspended after the Manager has been informed. Prices may be changed for future due dates, subject to prior notice.

5. The Guest plan and its revenue threshold

The Guest plan is free and carries rights equivalent to a reference plan. It includes a revenue threshold: where, over a period, the club exceeds the revenue collected through the Platform corresponding to its rights, it becomes liable for the price of the equivalent plan for that period.

Current thresholds and amounts are, per monthly period: €500 for Starter rights (€29 due), €1,500 for Pro rights (€79), €5,000 for Elite rights (€249); and per weekly period, €20,000 for Corporate rights (€299). The administration may set a specific threshold for a club; it then prevails over the default threshold.

This amount constitutes a club debt (article 11). It is never charged automatically: it is settled from the application or withheld from future payouts.

6. Activities, countries and zones

An activity opens for a (activity, country) pair: holding an activity in one country does not open it elsewhere. Opening it is acquired in Merhcure, at the price shown, and requires that the club's plan allows it and that the country has opened it.

For each activity and each country, the club configures: the cities and zones of operation, surcharges, the options offered, the payment methods accepted, visibility in the customer applications, and the membership rules for its professionals.

Base price grids are set by the Platform and resolved in the order zone, city, country. The club acts on what is its own: surcharges, options, commission, and where applicable the order giver's margin.

A zone may be allocated to a Manager. It confers the rights and obligations described at the time of allocation, in particular the recording of the zone's operations. The specific conditions of a zone prevail over these terms as regards their subject matter.

7. Colors Arts and badges

Colors Arts (liveries) and badges are acquired in Merhcure in the Vault. A Colors Art is equipped on a given activity and country, and becomes the livery customers see for that activity. Some badges open club functions.

This content is personal, non-transferable outside the mechanisms provided, and has no monetary value. Acquisition is final upon confirmation. Some series are limited in number of copies; a series selling out gives no right to compensation.

8. Collecting payments: company and countries

To receive payouts, the club must declare its company and open a payment account with the relevant provider (Stripe Connect or a regional provider). Identity verification is the provider's responsibility; an unverified account blocks all payouts.

The club declares the countries in which it collects payments. The country of an operation is that of its place of departure. The Manager warrants that they are compliant, in each collecting country, with their tax, social security and regulatory obligations; Colors does not stand in their place.

9. How the money is split

On a ride paid by the Customer through the application, the following are deducted: the Colors commission (currently 10% by default), the club commission (currently 10% by default) and the cashback due to the Customer (currently 5%). The balance goes to the performing professional. These rates are configured by country, zone and activity.

Where the professional is affiliated with the club, the whole professional share is paid to the club, which then remunerates its professional outside the Platform, under their own agreement. Colors is not a party to that agreement and does not guarantee its performance: the club alone bears the obligations, including social security and tax obligations.

Payment provider fees may be shared between the parties in proportion to their shares; details appear in the application.

The club may choose to cover the cash commission of its referring professionals. That choice binds the club: the amount is then charged to it or recorded as a debt (article 11).

10. Colors Cash: capped outstanding balance

Colors Cash allows the Manager to take a batch of Merhcure without paying for it immediately, in order to distribute it to their professionals. The batch is available at once; its price becomes a club debt.

The Manager's commission is withheld at source: they owe the price of the batch less their commission, currently 5%. No payment is therefore due to them on this account.

The outstanding balance is capped according to the club's plan — currently: Starter €200, Pro €500, Elite €2,000, Corporate and Managed €5,000; the Guest and Reward plans give no access. Each batch carries a term, currently 15 days, fixed when the batch is taken.

As long as a Colors Cash debt is overdue, no new batch may be taken. Caps, the commission rate and the term may change; the conditions of a batch remain those in force on the day it was taken.

11. Club debts

Amounts owed by the club — Guest subscription above the threshold, cash commission covered, Colors Cash batches — are recorded in a register that can be consulted in the application.

A debt is extinguished in three ways: voluntary settlement in Merhcure or by saved card; withholding from the club's future payouts, including partially and starting with the oldest debts; or set-off against any amount Colors owes the club.

Colors never charges a bank account automatically: withholding applies only to amounts it owes the club. Debts remain due after the plan is cancelled or the club is closed.

12. Your pros

The club recruits its professionals, approves their document files where it is their referring club, and sets its membership rules: open entry or subject to approval, entry fee, exit fee, affiliation conditions.

The number of seats is determined by the plan. The club may block a professional, temporarily or permanently, and offer them affiliation. The Manager undertakes to exercise these prerogatives in good faith and without prohibited discrimination.

The Manager acknowledges that professionals are independent and that it is for them, should they enter into an affiliation or employment relationship with them, to bear alone its legal characterisation and consequences.

13. Your customers

The club may make a customer's membership subject to approval, block a customer, and offer options of its own. Customer data passed to the club is passed for the sole purposes of performing and following up services; the Manager undertakes to make no other use of it, in particular no unconsented marketing.

14. Posting an order, order giver

The club may post an order: a job it entrusts to a professional, on its own behalf or on behalf of a third party. The price paid by the end customer may exceed the base fare; the resulting margin goes to the order-giving club, at the rate configured for the activity.

The performing professional receives at least the net amount from the base grid. The order-giving club remains responsible, towards the end customer, for the proper completion of the order it posted.

15. Non-profit clubs and donations

A club with a non-profit purpose may organise convoys and distributions open to donations. A service fee, currently 3%, is deducted from each donation. The club warrants its capacity to receive donations and, where applicable, to issue receipts; it alone bears the tax responsibility.

16. Merhcure

The Merhcure (symbol “ M ”) is the Platform's unit of account. It bears no interest and may not be transferred to a third party outside the mechanisms provided in the application. Each Merhcure falls into one of the five categories below, set at issuance and attached to it for its entire life. The category determines what it can be used for: paying for a service, being spent in the Vault, or being transferred out.

1. Full Merhcure. Acquired for consideration, or received in return for a service actually performed. They constitute a recoverable reserve: usable anywhere within the Platform, and the only ones that may be transferred to a bank account, under the conditions shown at the time of the operation.

2. Sealed Merhcure. Arising from cashback, and from advertising and partnership Merhcure that have reached the end of their release term. They can be used anywhere within the Platform, including to pay for services, but may never be transferred out or converted into currency. They are a loyalty benefit, not funds handed over to Colors.

3. Advertising Merhcure. Granted after viewing verified by the advertising provider. They are first usable in the Vault only. At the end of the release term shown in the application, specific to each currency and each origin, they become sealed Merhcure: they can then pay for services, without ever becoming transferable.

4. Partnership Merhcure. Granted in connection with partner operations. They follow the same regime as advertising Merhcure: Vault first, then sealed Merhcure at the end of their term.

5. Vault Merhcure. Obtained in the Vault — draws, missions, levels, streaks, game rewards. They are usable exclusively in the Vault: they pay for no service, are not converted and are never transferred out.

What never leaves. Only full Merhcure may be transferred to a bank account. The four other categories are loyalty benefits: they are neither transferable, nor refundable, nor convertible into currency. The passing of a term never makes transferable a Merhcure that was not: it broadens its use within the Platform, nothing more.

Currency and exchange. Each Merhcure is tied to a currency, set at the time of acquisition. Moving from one currency to another is an exchange: it is possible only if the original currency allows it, at the rate shown before confirmation, exchange fees included in that rate. A currency with no available rate cannot be exchanged; the operation is refused rather than estimated. An exchange never changes a Merhcure's category: a sealed Merhcure exchanged into another currency remains sealed.

Order of use. Where a payment can be settled from several categories, the Platform uses first those whose use is the most restricted, in order to preserve full Merhcure. The breakdown of categories held can be consulted at any time in the application.

Receiving company. Transferring full Merhcure requires that a company on your account be attached to the relevant currency zone and able to receive the funds. It covers the Merhcure of that zone, and those only. The currency of acquisition is chosen from those of the countries where your club holds a licence.

16.3 Value, immobilisation and end

When they are used to settle an amount expressed in currency within the Platform, the conversion applied is the one shown at the time of the operation (currently 1,000 M for €1). This value may change and is not a quoted rate.

Merhcure committed to an operation in progress (hold, offer, bid) are immobilised until it is settled, then returned if the operation does not go through.

If the account is closed, Merhcure acquired for consideration and not yet used may be the subject of a transfer request under the conditions above; Merhcure granted free of charge are lost.

8 bis. Currency zones and companies

Collection is organised by currency zone: countries sharing the same currency form a zone, and a single company of your account collects per zone. You attach your companies to zones from the application.

Where a zone is attached to no company, the corresponding amounts cannot be paid out until the attachment is made. Where the attached company operates in a different currency from the zone's, conversion takes place on arrival and bank fees may apply; they are not set by Colors and remain at your expense. Declaring a company in the zone's currency removes them.

Some zones have no banking collection system. Revenue there is then paid in Merhcure, without this opening any right to another method of payment.

10 bis. Cash reserve

Where your club covers the commission on an order paid in cash, it may build a reserve: an advance charged to your saved payment method, at your initiative and for the amount you choose.

The reserve is held per currency zone and in that zone's currency. It covers only the orders of its zone. Each coverage is debited from it at the time of assignment; the professional concerned then waives their share of cashback on that order, which goes to the club, and repays the advance by set-off against their later payouts. These repayments top the reserve back up.

You may set a cap per professional, which limits what a single professional may draw from the reserve. Absent a cap, no individual limit applies.

The reserve is a facility, not a guarantee. If the reserve is exhausted, absent, or the cap is reached, coverage follows the ordinary mechanism: charge to the club's saved payment method, and failing that a debt entry under article 11. Colors guarantees neither the success of a charge nor the permanent availability of this mechanism.

12 bis. Private options

Your club may create private options: surcharges or services that you define and that only your professionals honour. The number of open options depends on the rights held by your account.

You set their label, description, price and the share the club retains from it. You are solely responsible for the lawfulness of what you offer, for its accuracy and for its actual performance by your professionals. Colors takes part neither in their definition nor in their performance.

12 ter. Dispatchers

You may designate dispatchers among your professionals, authorised to post orders and to allocate jobs on your behalf. The orders they post bind you as if they came from you, in particular as regards the prices set and the amounts due.

You may withdraw that authorisation at any time from the application. Withdrawal applies for the future and does not call into question orders already posted.

14 bis. Colors Pass and prepaid vouchers

Your club may issue prepaid vouchers (Colors Pass, Pass Trip) allowing designated beneficiaries to order without paying themselves. The club bears the cost, within the limit of the amount, the number of uses and the period set at issuance.

An issued voucher is final: it gives no right to a refund once used. Amounts not consumed by the expiry date remain the club's, under the terms shown at issuance.

14 ter. Listing vehicles for sale

Where a resale activity is open, the vehicles of your fleet may be offered for sale within the network. Each listing goes through club approval before publication.

The sale is concluded between the seller and the buyer. Colors introduces the parties, passes on offers and records their acceptance; it is neither seller, nor agent, nor guarantor of the goods, their condition, their conformity or the transfer of ownership. The legal obligations of a professional seller — information, warranties, administrative documents — are entirely yours.

No amount is taken by Colors when an offer is accepted. Any commission, its base and when it is charged are those shown in the application for the activity concerned.

17. Termination, downgrade, suspension

The Manager may cancel their plan at any time from the application; it takes effect at the end of the current period. A downgrade to a lower plan entails the loss of the surplus rights: beyond the new plan's quotas, activities, countries or professional seats may be closed. Merhcure spent to acquire them are not returned.

Colors may suspend or close a club in the event of persistent non-payment, fraud, a falsified document, circumvention of the payment mechanisms, serious breach of these terms, or harm to user safety. Save in an emergency or where required by law, the Manager is informed and may submit observations. Amounts properly acquired before the measure remain due to them, subject to set-off against their debts.

18. Liability

Colors provides a technical service of introduction, collection on behalf of others and distribution. It guarantees neither a volume of orders, nor a turnover, nor the profitability of a club, an activity, a country or a zone. The statistical information displayed is indicative.

The Manager is answerable for the operation of their club: regulatory compliance, tax and social security obligations, relations with their professionals and customers, accuracy of the information published. They indemnify Colors against any third-party claim arising from that operation.

Colors' liability towards the Manager, all losses taken together, is limited to the amounts they have paid it over the twelve months preceding the triggering event. This limitation applies neither to wilful misconduct, nor to gross negligence, nor to personal injury.

19. Complaints and disputes

Any complaint should be addressed to the support built into the application, or to [email protected].

These terms are governed by French law. Failing amicable resolution within thirty days, exclusive jurisdiction is granted to the courts of the district of Colors' registered office, including where there are several defendants or a claim for indemnity.

20. Changes

Colors may amend these terms, in particular to take account of legal, technical or pricing developments. Any substantial change is brought to the user's attention in the application, and their acceptance is requested before continued use of the Services. The conditions applicable to an operation are those in force on the day of that operation.
