NEXA G GROUP, SARL with share capital of €1,000, Nanterre Trade Register 990 672 818, SIRET 990 672 818 00012, EU VAT FR 61 990 672 818, registered office 32 rue de Paris, 92100 Boulogne-Billancourt (France). Hereinafter “Colors” or “the Platform”.

1. Purpose and applications covered

These Terms of Sale (the “Terms”) govern orders placed by an individual user (“the Customer”) through the Colors Clubs and Colors Clubs Signature applications. They supplement the Terms of Use, which apply to all uses of the Platform.

Colors Clubs Signature gives access to a selection of activities, defined by each club; apart from that selection, both applications are governed by identical rules. Professionals and club operators are covered by separate terms: Pro Terms and Manager Terms.

The Platform gives access to a broad set of activities — passenger transport, delivery, rental, personal services, crafts, experiences, buying and reselling, and solidarity. The exact nature of the service, its rules and its price are shown before any confirmation.

2. Colors' role

Colors performs no service. The Platform connects the Customer with independent clubs and professionals, who perform the service under their own responsibility, with their own means, authorisations and insurance.

Colors provides the technical matching service, collection on behalf of others, the distribution of amounts and the tracking tools. The service contract is formed between the Customer and the club or professional who performs it. Colors acts as a technical intermediary and, where applicable, as agent for collection.

3. Account, age and accuracy

Ordering requires a personal account. The Customer must be at least 18 years old, or have their legal representative's authorisation where local law allows. They warrant the accuracy of the information provided — identity, contact details, pickup address — and are answerable for orders placed from their account.

An account is strictly personal and may only be used from one device at a time. Signing in on a new device ends the previous session.

4. The price

The price is calculated from a grid configured for each activity, resolved in the order zone, city, country: the applicable zone prevails, and the country only fills in what the zone does not set. Depending on the activity, it combines a base price, a per-kilometre price, a per-minute price, an hourly package and a minimum price.

The following may be added: the options chosen, the surcharges decided by the club (hours, days, events), and the service fees shown. Prices are expressed in the currency of the country of departure, inclusive of all taxes where regulations require it. Applicable VAT is that of the regime under which the operation falls.

The amount shown before confirmation is an estimate based on the expected route and duration. The final amount may differ if the route, the stops, the duration or the options change during performance; it is then recalculated using the same grid and itemised in the summary. The Customer may add up to 3 stops.

5. Immediate, scheduled, booking, offer

6. Who the order is offered to

The Customer chooses to send their order to the nearest clubs — the fastest — or to their favourite clubs (5 at most), which narrows the number of professionals able to respond and may lengthen the wait. That trade-off is stated on screen. Only clubs holding the activity in the country of departure can be selected.

7. Options and extras

Options are offered by the club or by the Platform: comfort options, language, club-specific services. Paid options are added to the price and itemised in the summary. A professional may, on their own initiative, offer one or more options: they are then free of charge for the Customer.

An option requested but not covered by the professional selected cannot be charged.

8. Payment methods

Available methods depend on the country and the club's configuration: bank card (Stripe and regional providers such as Paystack, Flutterwave, Tap Payments, MercadoPago, Razorpay), crypto-assets (NOWPayments) where the club accepts them, cash where the activity and the club allow it, Merhcure, and Colors Pass / Trip within the limits of their scope.

Depending on the method chosen, a card hold may be placed at the time of ordering or on assignment, then captured on completion, up to the amount actually due. A hold is not a charge: it temporarily blocks the amount with the card issuer. The payment collected is split between Colors, the club and the professional under the Platform's rules; that split has no effect on the price paid by the Customer.

If payment fails, the order may be refused or cancelled, and access to new orders suspended until the situation is regularised.

9. Merhcure

The Merhcure (symbol “ M ”) is the Platform's unit of account. It bears no interest and may not be transferred to a third party outside the mechanisms provided in the application. Each Merhcure falls into one of the five categories below, set at issuance and attached to it for its entire life. The category determines what it can be used for: paying for a service, being spent in the Vault, or being transferred out.

1. Full Merhcure. Acquired for consideration, or received in return for a service actually performed. They constitute a recoverable reserve: usable anywhere within the Platform, and the only ones that may be transferred to a bank account, under the conditions shown at the time of the operation.

2. Sealed Merhcure. Arising from cashback, and from advertising and partnership Merhcure that have reached the end of their release term. They can be used anywhere within the Platform, including to pay for services, but may never be transferred out or converted into currency. They are a loyalty benefit, not funds handed over to Colors.

3. Advertising Merhcure. Granted after viewing verified by the advertising provider. They are first usable in the Vault only. At the end of the release term shown in the application, specific to each currency and each origin, they become sealed Merhcure: they can then pay for services, without ever becoming transferable.

4. Partnership Merhcure. Granted in connection with partner operations. They follow the same regime as advertising Merhcure: Vault first, then sealed Merhcure at the end of their term.

5. Vault Merhcure. Obtained in the Vault — draws, missions, levels, streaks, game rewards. They are usable exclusively in the Vault: they pay for no service, are not converted and are never transferred out.

What never leaves. Only full Merhcure may be transferred to a bank account. The four other categories are loyalty benefits: they are neither transferable, nor refundable, nor convertible into currency. The passing of a term never makes transferable a Merhcure that was not: it broadens its use within the Platform, nothing more.

Currency and exchange. Each Merhcure is tied to a currency, set at the time of acquisition. Moving from one currency to another is an exchange: it is possible only if the original currency allows it, at the rate shown before confirmation, exchange fees included in that rate. A currency with no available rate cannot be exchanged; the operation is refused rather than estimated. An exchange never changes a Merhcure's category: a sealed Merhcure exchanged into another currency remains sealed.

Order of use. Where a payment can be settled from several categories, the Platform uses first those whose use is the most restricted, in order to preserve full Merhcure. The breakdown of categories held can be consulted at any time in the application.

When they are used to settle an amount expressed in currency within the Platform, the conversion applied is the one shown at the time of the operation (currently 1,000 M for €1). This value may change and is not a quoted rate. Merhcure committed to an operation in progress (hold, offer, bid) are immobilised until it is settled, then returned if the operation does not go through.

10. Cashback

Cashback may be credited to the Customer in Merhcure after a service is completed. It is reserved for Colors Premium members paying by card, and its rate — currently 5% of the price, varying by country and activity — is the one in force at the time of ordering. It is earned on completion; a cancelled service gives no entitlement. Cashback is credited in sealed Merhcure: it is spent within the Platform, including to pay for services, but is never transferred out.

11. Colors Premium

Colors Premium is a subscription taken out through the app store (App Store or Google Play). Its price, duration and renewal terms are those shown by the store at the time of subscription; management and cancellation take place in the account of the store concerned, in accordance with its own terms.

The subscription notably entitles you to cashback and to the benefits presented in the application. Those benefits end when the subscription expires; Merhcure already credited remain yours.

7 bis. Purchases on your behalf

On shopping activities, you set a budget and the professional proposes their fee. When the order is placed, a hold is taken on your payment method for an amount covering the budget, the fees and the maximum fee: only the amount actually spent is charged at the end.

You choose whether to let the professional buy freely within the budget, or to be asked before each payment. In the latter case, no reply within the time shown may lead to the purchase concerned being abandoned.

Minimum fees are due as soon as the mission starts, even if no purchase goes through: the professional has travelled. The goods bought are handed to you with their receipts; their conformity is the retailer's responsibility, not Colors'.

11 bis. Advertising and referrals

The application may offer you the chance to watch advertising in exchange for Merhcure or in-game benefits. Viewing is optional. The reward is only earned after verification by the advertising provider: an interrupted viewing, an unavailable advert or a negative verification give no entitlement.

Referrals may give rise to Merhcure when someone joins the Platform through you, under the conditions shown. Fictitious referrals and multiple accounts entail cancellation of the rewards and may justify suspension.

5 bis. Shared rides

On some activities, a ride already under way may be shared with another passenger heading in the same direction. Sharing is offered to you and is never imposed: refusing it leaves your ride unchanged.

Accepting a share may lengthen your trip and gives rise to the fare benefit shown at the time of the proposal. That benefit is calculated on the price of the ride and cannot be combined with a discount obtained when ordering.

5 ter. Long distance

A ride whose distance exceeds the stated threshold falls under a separate activity, with its own fare and its own professionals. Where applicable, the change of activity and the corresponding price are presented to you before confirmation.

12. The Vault: Colors Arts, badges, collectibles

The Vault allows you to acquire digital content in exchange for Merhcure: Colors Arts (liveries), badges, collectibles. Some are offered in limited series or in flash sales, within the limit of available copies.

This content is personal, non-transferable outside the mechanisms provided in the application, and has no monetary value. Acquisition is firm and final upon confirmation, the content being supplied immediately (see article 15).

Some Vault mechanisms involve an element of chance (draws, openings, progression rewards). The probability of obtaining an item is not guaranteed and the result of a draw cannot be contested, save in the event of a proven malfunction. These mechanisms do not constitute gambling: they allow no gain in currency and no withdrawal.

13. Donations and solidarity

The Platform allows you to contribute to convoys and distributions organised by clubs with a non-profit purpose. A donation is final as soon as it is paid and is not refundable, save where the operation is cancelled by the recipient club. A service fee, currently 3%, is deducted and stated before payment. Where the recipient is authorised to issue them, a receipt is provided; Colors does not guarantee the tax eligibility of the donation, which is the recipient's responsibility.

14. Cancellation and refund

Where no professional accepts the order, it expires free of charge and the amounts blocked are released. Any refund is made to the original payment method; amounts paid in Merhcure are returned in Merhcure.

15. Right of withdrawal

A consumer Customer residing in the European Union has, in principle, fourteen days to withdraw from a distance contract.

That right does not apply, in accordance with article L.221-28 of the French Consumer Code:

By confirming an immediate order or an acquisition in the Vault, the Customer expressly requests immediate performance and acknowledges losing their right of withdrawal once that performance is complete.

16. Conduct, ratings and reports

The Customer undertakes to behave respectfully, not to endanger the professional or the equipment, and to comply with the rules specific to the activity. They may rate the service and report any incident from the application; these reports are passed on to the referring club.

A club may refuse membership or block a Customer whose conduct warrants it. Colors may suspend or close an account in the event of fraud, non-payment, impersonation, circumvention of the payment mechanisms, or serious and repeated breach.

17. Liability

Colors is answerable for providing the technical matching service and for the proper execution of the payment operations it processes. It is not answerable for the performance of the service itself, which is the responsibility of the club or the professional: delay, quality, harm to persons or property, lost items, compliance with regulatory and insurance obligations.

Estimates of duration, distance and arrival are indicative and depend on external sources (mapping, traffic). Colors guarantees neither the permanent availability of the service nor the absence of interruption, in particular in the event of maintenance, a third-party provider outage, or force majeure.

Nothing in these Terms operates to exclude Colors' liability in the event of wilful misconduct, gross negligence or personal injury, nor to set aside the statutory warranties available to consumers.

18. Complaints and disputes

Any complaint should first be addressed to the support built into the application, or to [email protected]. Colors endeavours to reply within 30 days.

In accordance with articles L.611-1 et seq. of the French Consumer Code, a consumer residing in the European Union may refer a dispute free of charge to a consumer mediator. The European online dispute resolution platform is available at ec.europa.eu/consumers/odr.

These Terms are governed by French law, without prejudice to more favourable mandatory provisions of the consumer's country of habitual residence. Failing amicable resolution, jurisdiction is granted to the courts of the district of Colors' registered office, subject to the public-policy rules of jurisdiction applicable to consumers.

19. Changes

Colors may amend these terms, in particular to take account of legal, technical or pricing developments. Any substantial change is brought to the user's attention in the application, and their acceptance is requested before continued use of the Services. The conditions applicable to an operation are those in force on the day of that operation.
